COMERCIAL Law

The area of commercial and financial law is responsible for providing legal advice to companies in the broadest sense of the term.

Department lawyers have extensive and recognised experience advising national and international companies in corporate matters, structural modifications, commercial contracting, in all types of commercial transactions, mergers and acquisitions (“M&A”), project finance and debt restructuring advising sponsors before financial institutions.

In particular, the field of corporate advice includes, among others, incorporation of companies, structural modifications, dissolutions and liquidations, statutory modifications, preparation and support in meetings of boards of directors and shareholders’ meetings, and management of company secretariats. We also provide advice on the negotiation, drafting and execution of all types of commercial contracts such as distribution contracts (agency, franchising and supply), partnership, association or joint venture agreements, guarantee, transfers, exchanges, leases, options, purchase/sale, contracts for the exploitation of industrial or intellectual property rights, advertising, e-procurement and protection of personal data.

On the other hand, in the field of mergers and acquisitions (“M&A”), our lawyers have participated directly in corporate acquisition, investment and divestiture transactions and corporate restructuring. Therefore, our lawyers intervene in all stages or the transaction guaranteeing our clients a service of the highest quality, for which:

  • They analyse the structure of the transaction.
  • They prepare and enforce legal due diligence procedures.
  • They advise buyers and/or sellers, as well as the companies themselves subject to the transaction if necessary.
  • They assist and represent the client in the negotiation of the acquisition or sale agreements and contracts.
  • They design, advise and execute all additional actions such as, for example, partner agreements, planning and creation of securities.
  • They prepare and enforce the necessary corporate agreements for the full effectiveness of corporate transactions.
